These Terms of Service govern access to and use of DataCNVS. Questions about these Terms can be directed to support@datacnvs.com.

1. Acceptance of These Terms #
These Terms of Service ("Terms") govern access to and use of DataCNVS (the "Service"), provided by CNVS Scientific, LLC ("DataCNVS," "we," "us," "our"). By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you're using the Service on behalf of an organization, you're agreeing on that organization's behalf and confirming you have the authority to do so.
2. The Service #
DataCNVS is a data visualization and analysis platform for physical science data. It lets you upload and parse scientific data files, create and collaborate on visualizations ("canvases"), apply units and quantity-kind metadata, export data, and optionally share or publish your work. We may add, change, or remove features over time; these Terms apply to the Service as it exists from time to time.
3. Accounts and Workspaces #
You need an account to use the Service, created directly or through single sign-on with a supported identity provider (currently Google; additional providers may be added over time). You're responsible for the accuracy of your account information and for keeping your credentials secure, and for activity that occurs under your account.
An account may belong to one or more workspaces. A workspace's owner controls its membership, billing, and (subject to Section 5) access to the content within it.
The Service is intended for business and institutional use and is not directed at individuals under 16.
4. Subscriptions, Billing, and Payment #
Some features require a paid subscription. Subscription plans and pricing are shown at signup or in your workspace's billing settings, and may be billed per seat, per workspace, or on another basis described at checkout.
Payments are processed by Stripe, our payment processor. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring basis for your plan until you cancel. We don't see or store your full card details.
Renewal and cancellation. Subscriptions renew automatically at the end of each billing period unless canceled before renewal. You can cancel at any time through the billing portal; cancellation takes effect at the end of your current billing period, and you keep access until then.
Refunds. Payments are non-refundable, including for partial billing periods. If you cancel, you'll retain access through the end of the period you've already paid for, but we don't issue prorated or partial refunds for unused time.
Price changes. We may change our prices. For existing subscriptions, we'll give you notice before a price change takes effect on your next renewal.
Unpaid workspaces. A team workspace that never completes checkout may be automatically removed after a period of inactivity, as described in our Privacy Policy's retention section.
5. Your Content #
You retain all ownership rights in the scientific data, files, and other content you upload to or create within the Service ("Your Content"). We don't claim ownership over Your Content.
By uploading Your Content, you grant us a limited license to host, process, store, and display it solely to provide the Service to you and to anyone you choose to share it with. This license ends when Your Content is deleted, subject to the retention and backup timing described in our Privacy Policy.
You're responsible for having the rights necessary to upload Your Content, and for complying with any obligations that apply to it, for example, your institution's data policies, funder requirements, or export-control restrictions.
6. Acceptable Use #
You agree not to:
- Use the Service for any unlawful purpose, or to upload content you don't have the right to upload
- Attempt to access data, accounts, or workspaces you're not authorized to access
- Circumvent seat limits, rate limits, or other technical restrictions on the Service
- Reverse engineer, scrape, or attempt to extract the Service's underlying software beyond what's needed for ordinary use
- Interfere with or disrupt the Service's operation, or other users' ability to use it
- Share your account credentials in a way that provides access beyond your licensed seats
We may investigate and take action, including suspension or termination (Section 11), against accounts that violate this section.
7. Sharing and Publishing #
The Service lets you share canvases privately with specific people, or publish a canvas so that anyone with the link can view it without an account. Published content is publicly accessible. Don't publish anything you don't have the right to make public. You can unpublish or change access at any time; because published content may be cached, removal isn't always instantaneous everywhere.
8. Third-Party Sign-In #
If you sign in using a third-party identity provider (e.g., Google), your use of that provider is also governed by its own terms and privacy practices, which we don't control. We're not responsible for the availability, accuracy, or conduct of third-party sign-in providers.
9. Our Intellectual Property #
The Service, including its software, design, and branding, is owned by DataCNVS and protected by applicable intellectual property laws. These Terms don't grant you any rights to our intellectual property beyond what's needed to use the Service as permitted. If you send us feedback or suggestions about the Service, you agree we can use them without any obligation to you.
10. Service Availability #
We aim to keep the Service available and reliable, but we don't guarantee uninterrupted or error-free access. We may perform maintenance, and features may change or be discontinued. We don't currently offer a formal uptime commitment; if your organization has specific uptime requirements, contact us to discuss enterprise options.
11. Suspension and Termination #
We may suspend or terminate your access to the Service if you violate these Terms, don't pay amounts owed, or if your use poses a risk to the Service or other users.
You may close your workspace or account at any time. See our Privacy Policy for what happens to Your Content afterward: closing a workspace starts a grace period before deletion, and full account-level deletion is currently handled by contacting support rather than as a self-service action.
Sections that by their nature should continue to apply after termination, including ownership (Section 5), disclaimers and liability (Section 12), indemnification (Section 13), and governing law (Section 14), survive termination of your access.
12. Disclaimers and Limitation of Liability #
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DATA WILL NEVER BE LOST.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. EXCEPT FOR (A) YOUR PAYMENT OBLIGATIONS UNDER SECTION 4, (B) EITHER PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 13, (C) BREACH OF CONFIDENTIALITY, OR (D) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (II) $100.
13. Indemnification #
You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from Your Content, your violation of these Terms, or your violation of any law or third party's rights.
14. Governing Law and Dispute Resolution #
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Subject to the dispute-resolution process below, you agree to the exclusive jurisdiction of the state and federal courts located in Colorado for any dispute not otherwise resolved.
Except for claims that qualify for small claims court, any dispute arising out of or relating to these Terms or the Service will be resolved through binding, individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. Neither you nor we will participate in a class action, class arbitration, or representative proceeding against the other.
15. Changes to These Terms #
We may update these Terms from time to time to reflect changes to the Service, legal requirements, or other circumstances. We'll update the "Last updated" date above, and for material changes we'll provide additional notice, such as an email or in-app notification, before the changes take effect, consistent with how we handle changes to our Privacy Policy.
